What Buyers Actually Want: "A Buyer’s Mindset”

You’ve heard the phrase “know your customer.” When it comes to selling your business, your customer is the buyer.

Understanding what buyers are looking for, and what scares them off, is key to positioning your business to sell quickly and for top value.

  1. Clear Financials They Can Trust
    Buyers want to feel confident in what they’re buying. Clean books, strong margins, and documented add-backs are essential in this process.
  2. A Business That Doesn’t Rely on You
    They aren’t just buying revenue, they’re buying operations. If you’re the glue that holds the entire business together, it’s a red flag… but, luckily, there are still ways to structure a deal if the business is dependent on the owner.
  3. Predictable, Recurring Revenue
    Buyers love steady income. Contracts, subscriptions, and repeat customer data make your business more valuable.
  4. Staff Who Will Stick Around
    If key employees leave the day after closing, it’s a problem. Retention plans help ease that fear. Just make sure, if a buyer insists on meeting key employees, that they are introduced at the right time in the deal process to mitigate any potential issues— usually right at the very end of the process is the best bet (if at all).
  5. A Reasonable Transition Plan
    Buyers don’t expect you to disappear overnight, but they also don’t want you hanging around forever. A clean 3–6 month plan is ideal. For an owner dependent business, sometimes 1-2 years (or more) is the only option to get a deal done.
